Chile – Merger between Sun Dreams and Marina del Sol cancelled

Sun Dreams and Marina del Sol have reported that the proposed merger between the two companies has been cancelled. According to a memorandum released to financial authorities “the parties did not agree on the points necessary to carry out the transaction, they did not manage to exchange the background or the documents necessary to carry out legal, tributary, and labour due diligence processes,” reported La Tercera and El Mercurio newspapers.

In November Sun International’s proposed merger of its Chile-based casino company Sun Dreams with the assets of Marina del Sol was suspended after the companies failed to reach agreement on a memorandum of understanding.

Sun International je potvrdio da nisu uspjeli zaključiti predloženo spajanje do roka 31. listopada.

“The parties have agreed that they will continue to consider a potential merger which may result in a transaction at a later stage, in which event shareholders will be advised accordingly,” it said at the time.

Odgođena je i prodaja 14.94 posto udjela u Sun Dreamsu Pacificu. Transakcijom bi obje tvrtke imale 50 posto udjela u Sun Dreamsu.

“Dioničare obavještavamo da do danas strane još nisu dobile odobrenje za predloženo raspolaganje od Superintendencia De Casinos De Juego, regulatora kasina u Čileu, do datuma dugog zaustavljanja 31. listopada 2019. Sun International surađuje s Pacificom u vezi s produženje ovog datuma,” rekao je Sun International.
Sun International trenutačno posjeduje 64.94 posto Sun Dreamsa, a Pacifico 35.06 posto.
